Terms of Service
These Terms of Service (“Terms”) govern your access to and use of the Stryvr website at getstryvr.com and the learning platform and related services provided by Stryvr, a Series of Vaughan Group LLC (“Stryvr,” “we,” “us”). By accessing the website or using the Services, you agree to these Terms.
1. The Services
Stryvr provides access to a learning platform that includes a course catalog organized into workforce pathways, a brandable learning portal, a mobile engagement app, and related hosting and support. Specific features, scope, and pricing for an organization are set out in a separate license agreement and order form between Stryvr and that organization.
2. Licenses and accounts
Access to the platform is licensed, not sold, and is subject to the terms of the applicable license agreement and order form. Organizations and users are responsible for maintaining the confidentiality of account credentials and for activity that occurs under their accounts.
3. Acceptable use
You agree not to misuse the Services, including by: violating any law or third-party right; attempting to gain unauthorized access to the platform or its systems; interfering with the operation of the Services; copying, reselling, or redistributing course content except as permitted by the license; or using the Services to transmit harmful or unlawful material.
4. Fees
Fees, billing terms, and payment schedules are described in the applicable order form or license agreement. Except as required by law or expressly stated in that agreement, fees are non-refundable.
5. Intellectual property
The Stryvr name, logo, website, and platform configuration are owned by Stryvr and Vaughan Group LLC. Course content and underlying platform technology are owned by Stryvr’s providers and licensors and are made available to you under license. Except for the rights expressly granted in your agreement, no ownership or license is transferred to you.
6. Third-party platform and content
The Services are delivered using third-party platform and content providers. Your use of the Services may also be subject to those providers’ applicable terms, and the availability of specific courses or features may change as catalogs are updated.
7. Customer data
Where Stryvr processes learner or participant data on behalf of a licensing organization, that processing is governed by the agreement between Stryvr and the organization and by our Privacy Policy. The organization is responsible for obtaining any necessary consents from its participants.
8. Disclaimers
The Services are provided “as is” and “as available.” To the fullest extent permitted by law, Stryvr disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or that any particular learning or employment outcome will be achieved.
9. Limitation of liability
To the fullest extent permitted by law, Stryvr and Vaughan Group LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues. Our total liability arising out of or relating to the Services will not exceed the amounts paid for the Services in the twelve months preceding the claim, except as set out in the applicable license agreement.
10. Indemnification
You agree to indemnify and hold harmless Stryvr and Vaughan Group LLC from claims arising out of your misuse of the Services or your violation of these Terms or applicable law, except to the extent caused by Stryvr.
11. Term and termination
We may suspend or terminate access to the Services for violation of these Terms or as provided in the applicable license agreement. Provisions that by their nature should survive termination will survive.
12. Governing law
These Terms are governed by the laws of the State of [State of Formation], without regard to its conflict-of-laws rules. The parties submit to the exclusive jurisdiction of the courts located there, except as otherwise set out in a signed license agreement.
13. Changes to these Terms
We may update these Terms from time to time. We will post the updated version here and revise the effective date above. Continued use of the Services after changes take effect constitutes acceptance.
